Terms of Service

Privacy Policy

These Terms of Service (“Terms”) govern your use of Mega Code provided by Mind AI (“Company,” “we,” “us,” or “our”).

1. Service Overview

Mega Code is an AI-powered desktop application for evaluation and prompt, parameter, and workflow optimization of agent systems.

The Company does not guarantee the accuracy, completeness, security, or fitness for a particular purpose of any generated output or recommendation.

For purposes of these Terms, “Generated Output” means any output generated or recommended by the Service based on user-provided content, including prompts, source code, documentation, or data.

2. Acceptable Use and Restrictions

You agree not to:

  1. Use the Service for any unlawful purpose or in violation of applicable laws.
  2. Generate or distribute malicious code or code intended to compromise security.
  3. Attempt to bypass security features or compromise system integrity.
  4. Engage in abusive, excessive, or unauthorized automated use that impairs Service stability or infrastructure.
  5. Reverse engineer, copy, or modify the Service's code, structure, or algorithms without authorization.
  6. Input, generate, or distribute content that infringes third-party rights.
  7. Use Generated Output in a manner that misrepresents it as officially reviewed, certified, guaranteed, or endorsed by the Company, or as professional advice.
  8. Reproduce, redistribute, sublicense, or reverse engineer curated skills or their atomic components, in whole or in part, outside the scope of your authorized use of the Service.

The Company may suspend or terminate your access without prior notice if such violations are identified.

3. Software License and Restrictions

The Mega Code desktop application and client components (“Software”) are provided on a source-available basis, not open source.

The Software is licensed, not sold. Except as expressly permitted in these Terms, no ownership, license, or other rights are granted to users.

You may use the Software as a tool to develop other software (commercial or non-commercial).

You may not:

  • Modify or create derivative works
  • Distribute, sublicense, or transfer the Software
  • Offer it as a SaaS, hosted, or managed Service
  • Resell, white-label, or commercialize the Software itself

3.1 User Content and Generated Output

Any output generated using the Software is owned by you, subject to applicable third-party rights, open-source license terms, and the Company's rights in the Service and its underlying technology. You may use and commercialize such output, provided that you comply with any applicable third-party or open-source license obligations.

3.2 Backend Service

Certain features of the Service require a valid Service API key and access to Company-operated backend Services.

Users are responsible for any third-party API usage costs incurred through their use of the Service.

You may not:

  • Connect to unauthorized or self-hosted backends
  • Replicate or reverse engineer the Backend Service
  • Bypass API or Service requirements

3.3 Enforcement

Violation may result in immediate termination of access.

4. Intellectual Property

All intellectual property rights in user-provided content remain with the user. Rights in Generated Output are governed as follows.

4.1 User Content and Generated Output

All intellectual property rights in content you input into the Service (including prompts and data) remain with you.

Subject to the limitations below, intellectual property rights in AI-generated code and related outputs, including skills, strategies, and explanatory documents, belong to you to the extent permitted by applicable law and subject to applicable third-party rights and licenses.

However, if the Generated Output incorporates or is derived from pre-existing skills, templates, algorithms, models, or other components provided by the Company or lawfully licensed from third parties, ownership of those underlying components remains with their respective rights holders.

In such cases, you are granted a non-exclusive, non-transferable, non-sublicensable right to use those components solely within the scope of your use of the Service.

4.2 License Granted to the Company

By using the Service, you grant the Company a worldwide, royalty-free, non-exclusive license to use your input content and Generated Output as reasonably necessary to provide, operate, secure, maintain, and support the Service, subject to the data handling principles described in the Privacy Policy and these Terms. Any use of identifiable customer source code, prompts, repositories, Generated Outputs, or internal workflows for product improvement, research, benchmarking, advertising, marketing, or sale to third parties requires explicit user consent.

This license includes the right to:

  • Provide, operate, maintain, secure, and support the Service;
  • Evaluate and improve Service functionality, system performance, optimization quality, and recommendation quality using de-identified, aggregated, generalized, or abstracted data where applicable;
  • Develop new features, Services, or user experiences using de-identified, aggregated, generalized, or abstracted data where applicable;
  • Conduct statistical analysis, research, and internal analysis using de-identified, aggregated, generalized, or abstracted data where applicable;
  • Support Service expansion and operational needs.

The Company may exercise these rights within the limits permitted by law.

4.3 Operational Metadata and Derived Insights

During use of optimization, evaluation, workflow orchestration, recommendation, automation, or skill-related features, the Service may process operational metadata and system interaction data, including but not limited to evaluation outcomes, execution timing, workflow structure signals, retry behavior, skill usage patterns, attribution metadata, optimization-related operational traces, workflow adaptation signals, and operational improvement metadata, and related diagnostic or performance data.

The Company does not claim ownership over the user's proprietary source code, business logic, project content, repositories, or identifiable internal workflows.

However, the Company may generate, analyze, and use de-identified, aggregated, statistical, generalized, or abstracted operational insights derived from use of the Service for purposes including:

  • operating and improving the Service;
  • optimization and evaluation research;
  • workflow and performance analysis;
  • recommendation quality, workflow reliability, and overall system performance;
  • benchmarking and statistical reporting;
  • system diagnostics and security;
  • and feature development.

Such derived insights are processed in a manner reasonably designed not to identify or reproduce any individual user, organization, repository, proprietary implementation, or customer-specific operational workflow.

The Company does not sell identifiable customer source code, repositories, prompts, workflows, or optimization trajectories to third parties.

Identifiable source code, repositories, prompts, Generated Outputs, or internal workflows are not used for product improvement, research, benchmarking, advertising, marketing, or sale to third parties without explicit user consent.

4.4 No Compensation

You acknowledge and agree that no separate compensation will be provided for the Company's use of your content or Generated Output under this Section.

4.5 Third-Party Assets

If the Service generates outputs using third-party skills, templates, algorithms, models, or other licensed assets, ownership of those components and any derivative elements remains with their respective rights holders.

Curated skills are derived only from open-source skills licensed under permissive licenses (e.g., MIT, Apache 2.0, BSD). Original source attribution is provided in accordance with applicable license terms. You acknowledge that your use of curated skills may be subject to the terms of the applicable open-source license, including attribution requirements. You are responsible for complying with such license terms when using curated skills in your own projects or products.

The Company does not claim ownership of such third-party assets and does not transfer or sublicense those rights to you beyond the limited usage rights described above. The inclusion of third-party components does not affect the license you grant to the Company under these Terms.

All rights in the Service itself—including desktop application code, user interfaces (UI), system logic, algorithms, automated generation and recommendation features, and analytical engines—remain exclusively with the Company.

The Service, including its curation systems, orchestration logic, recommendation processes, methodologies, and curated skill configurations, constitutes proprietary technology and proprietary product features of the Company, excluding any original open-source components, which remain subject to their respective licenses.

5. Responsibility for Generated Output

You are solely responsible for the use, modification, distribution, and verification of all Generated Output and curated skills, including AI-generated code, configurations, automatically generated skills, curated skill recommendations, and explanatory text content.

The Company is not liable for any direct or indirect damages arising from the use of Generated Output. You are strongly advised to independently validate outputs before deploying them in production or live environments.

The Service operates in a probabilistic and non-deterministic manner. Identical inputs or environments may produce different results.

6. High-Risk Use Restrictions

The Service is not designed for autonomous decision-making or execution in mission-critical environments, including but not limited to medical, financial, life-safety, or critical infrastructure systems.

Explanatory content provided by the Service is intended for general informational and educational purposes only and does not constitute legal, tax, labor, medical, security, investment, or other professional advice.

Any use in such domains is at your sole risk, and the Company disclaims all liability arising from such use.

7. Service Modifications and Termination

The Company may modify, suspend, or discontinue all or part of the Service. For changes that materially and adversely affect users — such as Service discontinuation or removal of significant features — the Company will provide at least 30 days' prior notice through the Service or via separate notification. In cases of urgent technical, security, or legal necessity, the Company may provide notice promptly after such action.

Routine operational changes such as bug fixes, security patches, and feature additions may be made without prior notice.

Service Level Agreements (SLAs) are not provided for early-stage or beta versions of the Service.

Upon Service termination or account deletion, user data will be deleted or anonymized in accordance with the Privacy Policy.

8. Disclaimer of Warranties

The Service is provided on an “as-is” and “as-available” basis.

The Company makes no express or implied warranties, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

The Service may integrate with third-party AI models, IDEs, development tools, or external platforms. The Company is not responsible for damages arising from the availability, errors, modifications, or discontinuation of such third-party services.

The Company makes no warranties regarding the accuracy, timeliness, or suitability of Generated Output.

The Company does not warrant the accuracy, reliability, security, fitness for a particular purpose, or non-infringement of third-party intellectual property rights, of curated skills derived from third-party open-source sources. You are strongly advised to review and validate all curated skills before use in any production or operational environment.

However, this disclaimer does not apply to damages directly caused by the Company's willful misconduct or gross negligence.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the Company is not liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Service.

You are responsible for safeguarding your account credentials and the API key issued by the Service. All actions performed using your API key are deemed to be your actions.

The Company is not liable for API key leakage or misuse resulting from your failure to secure such credentials. However, where such leakage or misuse is directly attributable to the Company's own negligence or security breach, the Company's liability shall be limited to direct damages actually incurred by the user.

The limitations of liability in this Section shall not apply to damages directly caused by the Company's willful misconduct or gross negligence, or to liabilities that cannot be limited or excluded under applicable mandatory law.

10. Governing Law

These Terms are governed by the laws of the Republic of Korea. Where mandatory provisions of applicable local law in the user's jurisdiction provide greater protection, such provisions shall apply to the extent required by law. Conflict-of-law principles shall not apply.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
